Terms & Conditions

Effective: 28 May 2026. Governed by the laws of the Republic of Mauritius.

These Terms govern your use of Komers.mu and form a binding agreement between you and Komers.mu. By accessing or using the platform, you agree to be bound by these Terms.

1. About Komers.mu

Komers.mu is an online marketplace platform operated from Port Louis, Mauritius. It provides a technology infrastructure that allows independent vendors to list, market, and sell products and services to buyers, and allows buyers to discover and purchase from those vendors.

Komers.mu acts as a marketplace intermediary and technology provider — not as a seller, merchant of record, or party to any transaction between a buyer and a vendor. Each sale is a direct contract between the relevant vendor and buyer. Komers.mu is not responsible for the quality, safety, legality, or delivery of items listed by vendors, except where expressly stated in our Buyer Protection policy.

The platform is currently in active development. Features, fees, and policies may evolve. We will communicate material changes to registered users.

2. Eligibility

You may use Komers.mu only if you: are at least 18 years of age; have the legal capacity to enter into a binding contract under Mauritius law; are not prohibited from using the platform under any applicable law; and provide accurate, truthful, and complete information when registering or making purchases.

By using Komers.mu you represent that you meet these requirements. If you are registering on behalf of a business or legal entity, you additionally represent that you have authority to bind that entity.

3. Account Registration & Security

To access certain features you must register an account. You agree to provide accurate and complete information, and to keep your account details current. You are responsible for all activity that occurs under your account.

You must keep your password and access credentials confidential. You agree to notify Komers.mu immediately at hello@komers.mu if you suspect any unauthorised access to your account.

Komers.mu reserves the right to verify your identity and, where required by law or by our payment service providers, to request supporting documentation (such as government-issued ID or business registration documents) as part of our Know Your Customer (KYC) process. Failure to provide requested documentation may result in suspension or termination of your account.

4. Vendor Terms

Vendors are independent businesses or individuals who list products or services on Komers.mu. By registering as a vendor you agree to the following obligations:

Provide accurate, current, and complete identity and business information during registration
Maintain accurate product or service listings including correct pricing, description, and availability
Fulfil orders in the timeframe stated in the listing or notify the buyer promptly of any delay
Respond to buyer messages and support requests within 3 business days
Comply with all applicable Mauritius consumer protection, tax, and licensing requirements
Not list items in the Prohibited Content categories defined in these Terms
Keep account credentials secure and notify Komers.mu immediately of any unauthorised access

Vendor Fees: Vendor subscription: Rs 1,500 per month. Platform commission: 4–5% of gross merchandise value, invoiced monthly. Fees are subject to change with 30 days' notice to registered vendors.

5. Payments

All payments on Komers.mu are processed by licensed third-party payment service providers. Komers.mu does not hold customer funds in escrow and is not a payment institution. By completing a purchase you agree to the terms and conditions of the relevant payment provider.

Komers.mu may add, remove, or change payment service providers at any time. Where a payment provider requires Komers.mu or its vendors to comply with additional terms — including anti-money laundering checks, sanctions screening, or card scheme rules — those requirements form part of these Terms.

Komers.mu complies with the Financial Intelligence and Anti-Money Laundering Act (FIAMLA) and applicable regulations issued by the Bank of Mauritius. We reserve the right to delay, hold, or reverse a transaction where we reasonably suspect fraud, money laundering, or a violation of applicable law.

Refund and cancellation terms are set by individual vendors and are governed by our Returns Policy and Cancellations Policy.

6. Prohibited Content & Activities

The following are strictly prohibited on Komers.mu. Violation may result in immediate account suspension, permanent ban, and referral to the relevant authorities.

Illegal goods or services under the laws of the Republic of Mauritius
Counterfeit, pirated, or unauthorised reproductions of any product
Weapons, ammunition, or accessories whose sale is restricted or prohibited by law
Controlled substances, narcotics, prescription medication sold without authorisation, or drug paraphernalia
Tobacco or alcohol products without the appropriate Mauritius trade licence
Gambling, betting, or lottery products without a valid Gaming Board licence
Pornographic, obscene, or sexually explicit material
Products or services that facilitate money laundering, fraud, or financial crime
Pyramid schemes, Ponzi schemes, or unlicensed multi-level marketing structures
Items that infringe a third party's intellectual property rights
Live or protected wildlife and wildlife products prohibited under Mauritius law
Unsolicited bulk communications (spam)
Malware, phishing tools, or any software designed to harm users or systems
Dropshipping or reselling goods sourced directly from mass-import platforms without any local value-add, curation, or original inventory
Any other product or service that Komers.mu determines, in its reasonable discretion, to be harmful, offensive, or contrary to applicable law

You also agree not to: attempt to reverse-engineer, scrape, or disrupt the platform; use automated tools to create fake reviews or inflate metrics; impersonate another person or entity; or use the platform for any purpose other than legitimate commerce.

7. Intellectual Property

All platform content created by Komers.mu — including the Komers.mu name, logo, design, software, and written content — is owned by or licensed to Komers.mu and may not be reproduced without prior written permission.

By uploading product images, descriptions, or other content to Komers.mu, you grant Komers.mu a non-exclusive, royalty-free, worldwide licence to display and use that content for the purpose of operating and promoting the platform. You represent that you own or have the necessary rights to the content you upload and that it does not infringe any third-party intellectual property rights.

Komers.mu will respond to valid intellectual property infringement notices. To report a violation, contact hello@komers.mu.

8. Privacy & Data Protection

Komers.mu collects and processes personal data in accordance with the Data Protection Act 2017 of Mauritius. By using the platform you consent to the collection and use of your data as described in our Privacy Policy.

We share data with licensed payment service providers, logistics partners, and authorities where required by law. We do not sell personal data to third parties.

You have the right to access, correct, or request deletion of your personal data. Contact hello@komers.mu with any data requests.

9. Limitation of Liability

To the fullest extent permitted by Mauritius law, Komers.mu's total liability to you for any claim arising out of or related to these Terms or your use of the platform shall not exceed the greater of: (a) the fees paid by you to Komers.mu in the 3 months preceding the claim, or (b) Rs 5,000.

Komers.mu is not liable for: (a) any indirect, incidental, or consequential loss; (b) loss of profit, revenue, or data; (c) the acts or omissions of vendors; (d) payment processing errors or delays caused by third-party payment providers; (e) force majeure events including network outages, natural disasters, or government actions.

Komers.mu provides the platform on an "as is" and "as available" basis and makes no warranty that the platform will be uninterrupted, error-free, or suitable for any particular purpose.

10. Indemnification

You agree to indemnify and hold harmless Komers.mu, its officers, employees, and contractors from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) content you upload or list; (c) your transactions with other users; or (d) your violation of any applicable law.

11. Suspension & Termination

Komers.mu may suspend or permanently terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in prohibited activities, or if required to do so by a payment provider, financial institution, or applicable law.

You may close your account at any time by contacting hello@komers.mu. Pending orders or outstanding obligations must be resolved before account closure.

Sections 6 (Prohibited Activities), 7 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) survive termination.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Mauritius. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mauritius.

Before initiating formal legal proceedings, the parties agree to attempt resolution in good faith through direct negotiation for at least 30 days. For consumer disputes, you may also approach the Consumer Protection Unit of the Ministry of Commerce or the relevant regulatory authority in Mauritius.

13. Vendor Acceptance & Record of Agreement

When a vendor creates an account on Komers.mu, they are required to actively tick a checkbox confirming that they have read and agree to these Terms & Conditions and the Privacy Policy. This action constitutes a legally binding acceptance of these Terms.

The date and time of acceptance is recorded and stored on our servers (terms_accepted_at). This record may be produced as evidence of consent in any dispute, compliance audit, or regulatory review.

Vendors who registered before this requirement was introduced will be asked to confirm acceptance at their next login or as prompted by Komers.mu.

14. Amendments

Komers.mu may update these Terms from time to time. Material changes will be communicated to registered users by email or prominent notice on the platform at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
